This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is generated by a computer system and does not require any physical or digital signature. It is published in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020.

1. About these Terms

These Terms of Service ("Terms") govern your access to and use of the website https://shino.in, the Shino mobile application and related services (together, the "Platform"), including ordering food from Shino Kitchen and groceries from Shino Mart (the "Services").

The Platform is owned and operated by AIQ SIXTY FIVE SMARTKART HUB PVT LTD, a company incorporated under the Companies Act, 2013 (CIN U47912TN2024PTC171654), with its registered office at 21 Sivashanmugam Pillai St, SV Nagar, Ambattur, Tiruvallur – 600053, Tamil Nadu, India ("Shino", "we", "us", "our").

In these Terms, "you", "your" or "user" means any person who accesses the Platform or places an order. By accessing, browsing or using the Platform, you agree to these Terms and to our Privacy Policy and Cancellation, Return & Refund Policy, which form part of these Terms. Please read them carefully. If you do not agree, do not use the Platform.

2. Your account

  1. You must be at least 18 years old and able to enter into a binding contract to create an account and place orders.
  2. You agree to provide true, accurate and complete information during and after registration, including a valid mobile number, and to keep it up to date.
  3. You are responsible for all activity carried out through your account and for keeping your login and one-time passwords confidential.

3. Orders, prices and payment

  1. When you place an order, you make an offer to buy the items in your cart. A binding contract is formed when we confirm the order in the app.
  2. Prices, taxes, delivery charges and any other fees are shown in the app before you pay. You agree to pay all charges for the Services you use.
  3. Product images are for illustration. Food is prepared fresh and grocery items may vary slightly in size, weight or appearance.
  4. We may refuse or cancel an order if an item is unavailable, a listing contains an error in information or price, or we suspect fraud or misuse. If you have paid for a cancelled order, eligible amounts will be refunded as described in our Cancellation, Return & Refund Policy.
  5. You can pay online through our payment partners or choose cash on delivery where available.

4. Delivery and pickup

  1. We aim to deliver within the time shown in the app, typically 45 minutes to 1 hour. Delivery times are estimates and may be affected by weather, traffic or other factors beyond our control.
  2. Orders are delivered to the address you provide at checkout. Please ensure someone is available to receive the order. You may also choose to collect your order from your Shino hub.

5. Cancellations, returns and refunds

Cancellations, returns and refunds are governed by our Cancellation, Return & Refund Policy, Shipping Policy.

6. Offers and promotions

Offers, discounts and coupons are subject to their specific terms, validity periods and availability, may be limited to certain hubs, items or users, and may be changed or withdrawn at any time. Offers cannot be exchanged for cash unless stated.

7. Acceptable use

  1. You agree not to use the Platform for any purpose that is unlawful or prohibited by these Terms or by applicable Indian law.
  2. You must not misuse the Platform, including by placing fraudulent orders, interfering with its security or operation, or harassing our staff or delivery partners.
  3. Unauthorised use of the Platform may lead to suspension of your account and action under these Terms and applicable law.

8. Intellectual property

All content on the Platform, including the Shino name and logo, design, layout, text, graphics, images and software, is owned by or licensed to us. You may not copy, reproduce or use it without our prior written permission, and nothing in these Terms gives you any right, title or interest in it.

9. Third-party links

The Platform may contain links to third-party websites or services, such as app stores and payment pages, for your convenience. Your use of them is governed by their own terms and privacy policies.

10. Disclaimer and limitation of liability

  1. We try to keep information on the Platform accurate and up to date, but we do not warrant that it is complete, accurate or error-free at all times.
  2. To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential losses arising from your use of the Platform. Our total liability for any order is limited to the amount you paid for that order.
  3. Nothing in these Terms limits any rights you have as a consumer under Indian law.

11. Indemnity

You agree to indemnify and hold harmless Shino, its affiliates and their officers, directors, employees and agents from any claim, demand, penalty or action, including reasonable legal fees, made by a third party or imposed due to your breach of these Terms or our policies, or your violation of any law or the rights of a third party.

12. Force majeure

Neither party is liable for any failure or delay in performing its obligations under these Terms if caused by events beyond its reasonable control, including natural disasters, extreme weather, epidemics, strikes, government action or failures of utilities or networks.

13. Changes to these Terms

We may update these Terms from time to time. The effective date at the top shows when they were last changed. Continuing to use the Platform after changes are published means you accept the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. All disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
